This section illustrates the corporate governance system adopted by the Company, based on principles of transparency, integrity and sustainability, in support of responsible, innovative and long-term-oriented growth.

Strategic Committee

The Strategic Committee supports the Board of Directors in analysing and defining the Group’s industrial and financial development strategies. It makes recommendations on extraordinary transactions, strategic investments, business model evolution and competitive positioning. It conducts in-depth studies on macroeconomic scenarios, sector trends and innovation, helping to ensure alignment between long-term vision and operational decisions, with a view to creating sustainable value for all stakeholders.

Prof. Giorgio Ventre

He is a full professor in the Department of Electrical Engineering and Information Technologies at the University of Naples Federico II, where he teaches Computer Networks. He serves as Scientific Director of the Apple Developer Academy and has held the position of Department Director for two consecutive terms. He is currently a Board Member of the University Incubator. His research focuses on distributed systems, network architectures, cybersecurity and Internet development. He has promoted numerous advanced training and innovation initiatives and has been involved in technology transfer projects and startup creation. He collaborates with national and international bodies on digital technology policy and governance issues.

Prof. Paolo Taticchi

Paolo Taticchi is Professor of Strategy and Sustainability and Vice Dean at the UCL School of Management, where he co-directs the UCL Centre for Sustainable Business. A world-renowned expert in sustainability and corporate strategy, he has trained thousands of executives from Fortune 500 companies, taught at the leading business schools worldwide, and led corporate projects on five continents. His widely cited research comprises over 50 publications and books, including How to Be Sustainable (2025) and Disruption (2023). In 2025, his work on impact investing received high praise from the Financial Times for its tangible influence. A sought-after speaker and consultant, he has delivered more than 250 conferences to over 100,000 attendees and serves on multiple international advisory boards. As an entrepreneur, he has co-founded four consulting firms and spearheaded major international initiatives. His honors include being named one of Poets & Quants’ “Top 40 Under 40 Business Professors in the World” (2018), recognition by Il Sole 24 Ore as the most influential Italian under 40 (2021–23), and inclusion on the Thinkers50 Radar List (2025).
